AI Companion Creator Agreement

This AI Companion Creator Agreement (the "Agreement") is entered into between WEB LIMITED LTD, a company incorporated in England & Wales under company number 17239703, with its registered office at 71–75 Shelton Street, Covent Garden, London WC2H 9JQ, United Kingdom (the "Company", "we", "us"), and you, the individual applying to license your likeness (the "Creator", "you").

By checking the acceptance box on the Creator application form, you enter into this Agreement and confirm that you have read, understood, and agree to be bound by it, together with our Terms of Service and Privacy Policy. Your electronic acceptance (recorded with the date, time, and IP address) has the same legal effect as a handwritten signature. No separate paper agreement is required.

1. Definitions

"Creator Persona" means an AI Companion on the Platform generated from, and modelled on, your appearance and likeness. "Likeness" means your name or stage name, image, photographs, video, and other identifying characteristics you provide or license to us. "Persona Content" means the images, video, chat messages, and other media the Platform generates for your Creator Persona. "Platform" means AI Girlfriend Me and its associated websites and applications.

2. Licence You Grant

You grant the Company a worldwide, non-exclusive licence to use your Likeness to create, train, operate, promote, and monetize your Creator Persona on the Platform, and to generate Persona Content, for the term of this Agreement. This licence is limited to the operation of your Creator Persona on the Platform and does not transfer ownership of your Likeness, which remains yours. The licence is non-exclusive: you keep the right to license your Likeness elsewhere, provided you do not grant any third party rights that would prevent us from operating your Creator Persona as contemplated by this Agreement.

3. Our Role

We build, train, host, operate, and moderate your Creator Persona, and we generate all of its Persona Content using our AI systems. You are not required to produce content yourself. We control the technical operation of the Platform and may make changes to it. Nothing goes live until your identity has been verified (Section 4) and this Agreement has been accepted.

4. Eligibility & Identity Verification

You represent and warrant that you are at least 18 years of age and that you own or control all rights in your Likeness necessary to grant the licence in Section 2. Before any Creator Persona is created, you must complete identity and age verification through our third-party verification provider, which confirms that you are an adult and that the identity you provide is genuine. We do not store your identity document images; we retain only the verification result and the minimum data required for our records.

5. Revenue Share

In consideration of the licence you grant, we will pay you a revenue share of 20% of the revenue attributable to your Creator Persona, calculated on the credits users consume interacting with your Creator Persona (including generated images and video). Earnings accrue monthly and are paid within 30 days after the end of each calendar month, subject to a minimum payout of US$50 (any balance below the minimum rolls over to the next period) and your provision of valid payment details. We will provide a statement of your earnings for each period.

6. Nature of AI-Generated Content

You understand and agree that Persona Content is synthetic and generated by artificial intelligence. It does not depict real acts, events, statements, or conduct by you, and does not represent your actual views or behaviour. Your Creator Persona is a fictionalised, AI-operated character modelled on your Likeness. You will not be asked to perform, record, or appear in any live or explicit acts.

7. Content Standards

All Persona Content is produced within the Platform's content rules, including our Blocked Content Policy. We will not knowingly generate content that is unlawful or that falls outside those rules. If you believe Persona Content bearing your Likeness is inappropriate or should not have been produced, you may notify us and we will review it under our Content Removal Procedures.

8. Withdrawal of Consent & Removal

You may withdraw your consent and terminate this licence at any time by contacting us at [email protected]. On withdrawal, we will retire your Creator Persona and remove it from public availability on the Platform within 5 business days, and cease generating new Persona Content from your Likeness. Withdrawal does not affect earnings already accrued to you up to the date of removal, which remain payable. Certain records may be retained where required for legal, accounting, or safety purposes.

9. Data Protection

We process your personal data in accordance with our Privacy Policy. This includes the information you submit on the application form, your verification result, and payment details necessary to pay your revenue share.

10. Term & Termination

This Agreement begins when you accept it and continues until terminated. You may terminate at any time by withdrawing consent under Section 8. We may suspend or terminate this Agreement, and retire your Creator Persona, if you breach this Agreement, if any warranty you gave is untrue, or where required for legal or safety reasons. Sections relating to accrued payments, warranties, and governing law survive termination.

11. Warranties & Indemnity

You warrant that you are 18 or older, that the Likeness you provide is your own, and that granting the licence in Section 2 does not breach the rights of any third party or any other agreement. You agree to indemnify us against third-party claims, and the reasonable costs associated with them, arising directly from your breach of these warranties (for example, a claim that you did not hold the rights to the Likeness you licensed).

12. Governing Law

This Agreement is governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction over any dispute arising from it.
